These Terms of Service (“Terms”) govern your access to and use of https://cybernon.com and its content, features, and contact functions (collectively, the “Site”). The Site is operated by Cybernon (“Cybernon,” “we,” “us,” or “our”).
By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1. Site Purpose
The Site provides general information about Cybernon and its cybersecurity consulting capabilities, which may include cyber defense and incident response, security operations, threat and vulnerability management, cyber risk management, governance, compliance readiness, and cybersecurity leadership services.
Site content is provided for general informational and business-development purposes. It is not legal advice, regulatory advice, an audit opinion, a certification, an incident-response directive, or a substitute for advice based on your organization’s specific facts and risks.
2. No Client Relationship Through Site Use
Using the Site, submitting a form, sending an email, calling Cybernon, or discussing a potential engagement does not by itself create a client, fiduciary, confidential, advisory, or other professional relationship.
A professional relationship begins only when Cybernon and the client enter into a written agreement signed or otherwise accepted by authorized representatives. Any cybersecurity services are governed by that separate agreement, which will control if it conflicts with these Terms.
Do not send passwords, private keys, authentication codes, protected health information, payment-card data, classified information, privileged material, active malware, or other highly sensitive information through the Site or ordinary email unless Cybernon has expressly authorized a secure transmission method.
3. Permitted Use
You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:
- Violate any applicable law or regulation
- Attempt to gain unauthorized access to the Site, its hosting environment, accounts, systems, or networks
- Probe, scan, or test Site vulnerabilities without Cybernon’s prior written authorization
- Introduce malware, harmful code, automated abuse, or disruptive traffic
- Scrape, harvest, copy, or systematically extract Site content or contact information except as permitted by law or written authorization
- Interfere with Site availability, security controls, or other users
- Misrepresent your identity, affiliation, or authority
- Use the Site or its content to infringe intellectual property, privacy, confidentiality, or other rights
- Submit unlawful, defamatory, fraudulent, abusive, or misleading content
4. Intellectual Property
The Site and its content—including text, graphics, branding, logos, page designs, service descriptions, downloads, and other materials—are owned by or licensed to Cybernon and are protected by applicable intellectual-property laws.
Cybernon grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Site for your internal informational and legitimate business purposes. No ownership rights are transferred. You may not reproduce, modify, distribute, publish, sell, license, create derivative works from, or commercially exploit Site content without prior written permission, except as allowed by law.
Cybernon’s name, logo, and branding may not be used in a way that suggests endorsement, affiliation, or sponsorship without written permission.
5. Third-Party Links and Services
The Site may contain links to or integrations with third-party websites and services. Third parties operate under their own terms and policies. Cybernon does not control and is not responsible for third-party availability, security, accuracy, content, or practices. A link does not necessarily imply endorsement.
6. Informational Content and No Guarantee of Results
Cybersecurity risks, threats, technologies, and regulatory requirements change continuously. Although Cybernon seeks to provide useful and accurate Site information, we do not warrant that Site content is complete, current, error-free, or suitable for a particular organization or purpose.
No security control, assessment, tool, recommendation, or service can eliminate all cyber risk. Site statements about capabilities, outcomes, or risk reduction do not guarantee that an incident, loss, vulnerability, disruption, or compliance issue will not occur.
7. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. CYBERNON DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
Cybernon does not warrant that the Site will be uninterrupted, secure, available, free of harmful components, or free from errors, or that defects will be corrected.
Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CYBERNON AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CYBERNON’S TOTAL LIABILITY FOR CLAIMS ARISING FROM OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).
These limitations apply only to Site use. Liability relating to paid cybersecurity services is governed by the applicable written client agreement. Some jurisdictions do not allow certain liability limitations, so some limitations may not apply to you.
9. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Cybernon and its owners, officers, employees, contractors, agents, and affiliates from claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys’ fees arising from your unlawful use of the Site, your violation of these Terms, or your infringement of another person’s rights.
10. Privacy
Your use of the Site is also subject to Cybernon’s Privacy Policy. The Privacy Policy explains how information is collected, used, and disclosed through the Site.
11. Availability and Changes
Cybernon may modify, suspend, restrict, or discontinue any part of the Site at any time. We may update these Terms by posting a revised version with a new “Last updated” date. Your continued use of the Site after revised Terms become effective constitutes acceptance of the revised Terms.
12. Governing Law and Venue
These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles. To the extent a dispute concerning the Site or these Terms is not governed by a separate written agreement, you consent to the exclusive jurisdiction of the state and federal courts located in Illinois, and you waive objections to personal jurisdiction or venue in those courts.
13. Severability and Waiver
If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in effect. Cybernon’s failure to enforce a provision is not a waiver of that provision or any other right.
14. Entire Agreement
These Terms and the Privacy Policy constitute the entire agreement between you and Cybernon concerning use of the Site. They do not replace or modify any separate written agreement for cybersecurity or consulting services.
